Cap table — open contradictions to resolve before signing
- Pitch deck shows 9M pre / $12M post. The 04-20 journal flagged “verify”; still unresolved. Ask Claire which is operative for the actual round.
- CPO equity: sheet shows 20%, verbal current is 10% with the remaining 10% on H-1B conversion to full-time. Get in writing.
- No option pool reserved. Pre-seed institutional investors will demand one and it dilutes founders, not new money. Raise before close. (Section 17 already addresses pool-from-pre-money protection for the user’s own grant; this is the company-level gap.)
- Founder-aggregate dilution at $9M pre: 96% → 67% post pre-seed.

- Do not surface precision medicine AI frame to Claire pre-engagement. That frame is the user’s, not yet Claire’s. Test alignment via Phase 1 conversations on Traini, vet network, data architecture.
- No public commitment to thesis: no tweets, no group-chat strategic shares, no public process disclosures. User already deleted a tweet exposing the precision medicine angle.
